1. Introduction & Acceptance of Terms

Welcome to CloudOn ("we," "us," or "our"), an eSIM data service operated by Gold Lavender Co., Ltd., a company incorporated in Japan. CloudOn is accessible via our websites (cloudon.app and cloudon.jp) and our mobile applications on Android and iOS (collectively, the "Services").

By creating an account, purchasing a plan, or otherwise using our Services, you ("you" or "User") confirm that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"), along with our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

We reserve the right to update these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.

2. Eligibility

To use CloudOn, you must:

  • Be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher).
  • Have a compatible eSIM-enabled device.
  • Have the legal capacity to enter into a binding agreement.
  • Not be located in a jurisdiction where the use of our Services is prohibited by law.

By using our Services, you represent and warrant that you meet all of the above eligibility requirements.

3. Account Registration

3.1 Creating an Account

To purchase or manage eSIM plans, you must register for a CloudOn account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at hello@cloudon.app if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to keep your credentials secure.

3.3 One Account Per User

Each user may maintain only one active account. We reserve the right to merge or close duplicate accounts.

4. Our Services

4.1 eSIM Data Plans

CloudOn offers eSIM data plans for use in various countries and regions. Plan availability, coverage, speed, and data allowances vary by destination and plan type. Details are displayed at the time of purchase. We do not guarantee uninterrupted, error-free, or consistently high-speed connectivity, as network performance depends on local telecommunications infrastructure outside our control.

4.2 Top-Ups and Plan Extensions

Where available, you may top up or extend an existing active eSIM plan. Top-up eligibility depends on the plan type and remaining validity. Topped-up data or validity is subject to the same terms as the original plan.

4.3 Auto-Renewal

Certain plans may offer an auto-renewal feature. If you enable auto-renewal:

  • Your chosen payment method will be charged automatically at the end of each billing period.
  • You will be notified before the first auto-renewal charge.
  • You may disable auto-renewal at any time from your account settings before the renewal date. Disabling after a renewal has processed will not result in a refund for that period.

4.4 Referral & Rewards Program

CloudOn may offer a referral or rewards program from time to time. The specific terms, reward values, eligibility criteria, and expiry conditions of any such program will be published separately within the app or on our website. We reserve the right to modify, suspend, or discontinue any referral or rewards program at any time, with or without notice, and to disqualify users who abuse or attempt to game the program.

4.5 Tethering and Hotspot

The availability of tethering (sharing your eSIM data connection via hotspot) depends on the specific plan you have purchased. Plans that do not include tethering must not be used for this purpose. Where tethering is permitted, it is subject to the fair use policy of the relevant network operator.

5. Pricing, Payment & Taxes

5.1 Pricing

All prices are displayed in the currency shown at checkout. Prices are subject to change without notice. The price confirmed at the time of your purchase is the price you will be charged for that transaction.

5.2 Payment Methods

We accept payments via Stripe, PayPal, Apple Pay, and Google Pay. By submitting a payment, you represent that you are authorized to use the payment method provided.

5.3 Payment Security

Payment card details are processed directly by our third-party payment processors and are never stored on CloudOn's servers. All transactions are encrypted and handled in accordance with applicable payment security standards (PCI-DSS).

5.4 Taxes

Prices displayed may or may not include applicable taxes depending on your location. You are responsible for any local taxes, duties, or levies applicable to your purchase.

5.5 Failed Payments

If a payment fails, access to the relevant plan may be restricted or delayed. For auto-renewal plans, we may retry the payment using the same payment method. If payment cannot be collected after reasonable attempts, the plan will not be renewed.

6. Refund Policy

All eSIM purchases are final once the eSIM has been activated. Due to the digital and consumable nature of eSIM data services, we do not offer refunds after activation.

Exceptions may be considered in the following circumstances only:

  • The eSIM was never activated and a refund is requested within 7 days of purchase.
  • There was a verified technical failure on our end that prevented you from using the service entirely, and the issue could not be resolved within a reasonable timeframe.

To request a refund under an eligible exception, contact us at hello@cloudon.app with your order details. All refund decisions are made at our sole discretion and are processed back to your original payment method.

We are not responsible for and will not issue refunds due to:

  • Incompatible devices (it is your responsibility to verify device compatibility before purchase).
  • Poor network coverage in your destination (coverage depends on local carriers).
  • Failure to follow eSIM installation instructions.
  • Change of travel plans or personal circumstances.

7. eSIM Installation & Compatibility

7.1 Device Compatibility

It is your responsibility to confirm that your device is eSIM-compatible and unlocked before purchasing a plan. A list of supported devices is provided in our app and on our website for reference, but this list may not be exhaustive. We are not liable for purchases made on incompatible or carrier-locked devices.

7.2 Installation

eSIM installation instructions are provided within the app and by email upon purchase. You must follow these instructions carefully. CloudOn is not responsible for activation failures resulting from incorrect installation or modifications to your device settings.

7.3 One-Time Use

eSIM profiles are issued for one-time use on one device. Once installed, an eSIM profile cannot be transferred to another device. Deleting your eSIM profile from your device may result in permanent loss of that profile, and we cannot guarantee reissuance.

8. Acceptable Use

You agree to use CloudOn's Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services for any illegal, fraudulent, or unauthorized purpose.
  • Resell, sublicense, or commercially redistribute eSIM plans or data without our express written consent.
  • Attempt to circumvent, hack, or otherwise interfere with our systems, networks, or security measures.
  • Use the Services in a manner that places unreasonable demand on our network or that disrupts other users' access.
  • Provide false information during registration or when contacting support.
  • Engage in abusive, threatening, or harassing conduct toward CloudOn staff or other users.
  • Initiate unauthorized chargebacks or payment disputes without first contacting us to resolve the issue.

Violation of this section may result in immediate suspension or termination of your account without refund.

9. Account Suspension & Termination

9.1 Termination by You

You may close your account at any time by contacting us at hello@cloudon.app. Closing your account does not entitle you to a refund for any active or unused plans.

9.2 Termination by CloudOn

We reserve the right to suspend, restrict, or permanently terminate your account and access to the Services at our sole discretion, with or without notice, if we determine that you have:

  • Violated any provision of these Terms.
  • Engaged in fraudulent activity or unauthorized chargebacks.
  • Provided false or misleading information.
  • Acted in a manner harmful to CloudOn, our partners, or other users.

9.3 Effect of Termination

Upon termination, your right to access and use the Services ceases immediately. Active eSIM plans associated with your account will be deactivated. We are not liable for any loss resulting from termination made in accordance with these Terms.

10. Intellectual Property

All content, branding, logos, software, and materials available through CloudOn are the property of Gold Lavender Co., Ltd. or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use our Services for personal, non-commercial purposes only.

You must not copy, reproduce, modify, distribute, or create derivative works from any CloudOn content without our express written permission.

11. Third-Party Services and Links

Our Services may integrate with or link to third-party services (such as payment processors, analytics providers, or carrier networks). These third parties operate under their own terms and privacy policies, and we are not responsible for their practices or content. Your use of third-party services is at your own risk.

12. Disclaimers & Limitation of Liability

12.1 Service Disclaimer

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or available at all times. Network coverage and data speeds are subject to the conditions of local telecommunications providers.

12.2 Limitation of Liability

To the fullest extent permitted by applicable law, Gold Lavender Co., Ltd. and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or loss of connectivity, arising from your use of or inability to use the Services.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to CloudOn in the 3 months preceding the claim.

12.3 Consumer Rights

Nothing in these Terms limits or excludes any rights you may have under applicable mandatory consumer protection laws in your jurisdiction that cannot be contractually waived.

13. Indemnification

You agree to indemnify and hold harmless Gold Lavender Co., Ltd. and its affiliates, officers, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party rights.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

14.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter amicably by contacting us at hello@cloudon.app.

If the dispute cannot be resolved informally within 30 days, it shall be subject to the exclusive jurisdiction of the Tokyo District Court (Tokyo Chiho Saibansho) in Japan.

14.3 International Users

If you are located outside Japan, local mandatory laws in your country may apply in addition to or instead of these Terms where required by law. Nothing in this section is intended to deprive you of protections afforded by mandatory provisions of local law.

15. Changes to the Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. This includes changes to plan pricing, features, supported countries, and network partners. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features (such as the Referral & Rewards Program), constitute the entire agreement between you and Gold Lavender Co., Ltd. with respect to the Services and supersede all prior agreements, representations, or understandings.

These Terms & Conditions are written in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
